ZCCM Investments Holdings Plc(ZCCM-IH) says it is progressing with its proposed Listing Optimization Project, including a plan to buy back shareholders holding 100 or fewer shares.
ZCCM-IH first announced the project on July 10, 2026 and issued a further cautionary announcement on August 28, 2026.
As of July 20, 2026, the company had approximately 5,013 shareholders across its three share registers. Of these, 3,637, or 72.55 percent, held 100 or fewer shares. Collectively, those holdings represent about 0.05 percent of the company’s total shares in issue.
In a statement issued by ZCCM-IH Corporate Affairs Manager Loisa Mbatha on Friday, Chief Executive Officer Kakenenwa Muyangwa said the proposed Odd-Lot Offer forms part of efforts to simplify its shareholder registers.
“ZCCM Investments Holdings Plc (ZCCM-IH) has announced that it is progressing with its proposed Listing Optimisation Project, which involves the Company’s listings on the Lusaka Securities Exchange (LuSE), Euronext Access Paris and the London Stock Exchange (LSE). The Company first announced the proposed project on 10 July 2026 and subsequently issued a further cautionary announcement on August 28, 2026. As part of the Listing Optimisation Project, ZCCM-IH is considering a proposed Odd-Lot Offer for shareholders holding 100 or fewer ZCCM-IH shares. As at July, 202026, ZCCM-IH had approximately 5,013 shareholders across its three share registers, of whom 3,637 (72.55 per cent) held 100 or fewer shares, collectively representing approximately 0.05 per cent of the Company’s total shares in issue. The proposed Odd-Lot Offer is intended to simplify and optimise the shareholder registers, reduce the administrative and compliance costs associated with fragmented shareholdings, improve shareholder traceability and communication, provide eligible Odd-Lot Holders with an efficient means of realising their investments where small holdings may make market sales uneconomic, and support more efficient trading, price discovery and liquidity in ZCCM-IH shares,” he said.
“What the Proposed offer Means for Small Shareholders: Subject to the required legal, regulatory and shareholder approvals and the final terms of the offer, eligible shareholders will have the opportunity to either sell their Odd-Lot holdings to ZCCM-IH for cash or retain their shares. The proposed offer is intended to provide shareholders with a straightforward liquidity option where the small size of their holdings may otherwise make it difficult or uneconomic to sell their shares through the market. This is about making ZCCM-IH simpler, more efficient, and easier to invest in. Almost three quarters of our shareholders hold 100 shares or fewer, and every one of them matters to us. For holdings of this size, however, the costs and practical considerations associated with selling through the market can be disproportionate to the value of the investment.”
Muyangwa said the offer was meant to give small shareholders a fair way to realise their investment.
“The proposed Odd-Lot Offer is intended to give eligible shareholders a fair and straightforward cash option if they wish to realise their investment, while ensuring that shareholders who wish to remain invested in ZCCM-IH can retain their shares. At the same time, optimising our shareholder registers will help reduce administrative costs, improve shareholder communication, and support more efficient trading and liquidity for all investors. The proposed Odd-Lot Offer remains subject to applicable legal, regulatory, and shareholder approvals. Where required, the Company will seek approval at a General Meeting of shareholders. Before the meeting, ZCCM-IH will issue a detailed circular setting out the full terms of the proposed offer, including the offer price, eligibility criteria, options available to shareholders, and the implementation process. The offer price and final terms of the offer will be announced once the necessary approvals have been obtained and the offer has been finalised,” said Muyangwa.
